1. About these terms

These Terms & Conditions govern your access to and use of the TMS website (tmservices.co.in) and the HR, staffing, Employer of Record, and compliance services offered through it by TMS — Team Management Services, a registered partnership firm operating from Mumbai, India (“TMS”, “we”, “us”, “our”). By accessing the site or engaging our services, you agree to these terms.

2. The services

TMS provides enterprise HR services including Employer of Record (EOR), third-party contract staffing, talent acquisition, payroll outsourcing, statutory compliance, and related advisory for organisations operating in India. The specific scope, deliverables, fees, and timelines for any engagement are set out in a separate proposal, order form, or service agreement, which prevails over these terms in respect of that engagement.

3. Your responsibilities

You agree to provide accurate information, to use the site and services lawfully, and not to misuse, disrupt, or attempt to gain unauthorised access to the site or its systems. You are responsible for maintaining the confidentiality of any account credentials issued to you.

4. Fees and payment

Fees are as stated in the applicable proposal or order form and are payable within the period stated therein. All fees are exclusive of applicable taxes (including GST), which you are responsible for paying.

5. Intellectual property

All content, trademarks, and materials on the site are owned by us or our licensors and are protected by law. You may not copy, reproduce, or exploit them without our prior written consent, except as necessary to use the services as intended.

6. Confidentiality

Each party will protect the other’s confidential information and use it only for the purposes of the engagement.

7. Disclaimers

The website is provided on an “as is” and “as available” basis. We provide HR information and services in good faith but are not a law firm, and our services do not constitute legal advice. You should obtain independent professional advice before acting on HR, employment-law, or compliance matters.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses. Our total aggregate liability arising out of or in connection with the services is limited to the total fees paid by you to us for the specific service giving rise to the claim in the 12 months preceding the claim. Nothing in these terms excludes liability that cannot be excluded by law.

9. Group Structure and Limitation of Liability

“SKAD HR Group” is a brand name used to describe a family of independently operated companies. It is not itself a legal entity, partnership, holding company, or contracting party. The brand refers to: (a) TMS — Team Management Services, a registered partnership firm operating from Mumbai, India; and (b) SKAD Business Solutions Private Limited (CIN: U74140MH2021PTC360434), which operates HRTailor.com and HRTailor.AI.

When you engage a service from any one of these companies, you enter into a contract with that company alone. No other company in the group is a party to that contract or assumes any obligation or liability under it. Each company is solely responsible for the services it directly provides and is not liable, jointly, severally, or vicariously, for the acts, omissions, debts, or liabilities of any other company in the group. Cross-referrals between the companies are a convenience only and create no agency, partnership, joint venture, or shared responsibility.

10. Governing law and jurisdiction

These terms, and any dispute arising from them or from any service provided by a company in the group, are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction, and you submit to that jurisdiction.

11. Changes

We may update these terms from time to time. The current version will be posted on this page with a revised effective date.
